Description
A company owned by The Department for Business,Innovation and Skills (BIS) is looking to procure a legal adviser to execute a potential sale of two portfolios of interests in private equity funds. BIS Co is open to selling the portfolios together or separately to maximise value achieved, and is able to retain one or both portfolios if satisfactory terms and value for money cannot be achieved in a transaction.
The expectation is that the interests will be sold at the portfolio level rather than individual funds transferred.
Scope will include a review of each portfolio's LPA documents, a review of transaction documents, drafting and negotiating buyers NDAs, preparing a draft PSA, conducting PSA negotiations and drafting and negotiating transfer documents.
